Terms of Service

These Terms of Service (“Terms”) govern your use of HSC Coach (the “Service”), operated by HSC LLC, a Florida limited liability company (“HSC,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

The Service is provided exclusively to authorized users invited by an account administrator. You may not access or use the Service without an invitation, and you must be at least 18 years old to use the Service.

2. Accounts

2.1 Account Creation

Accounts are created by administrators. You will receive credentials to access the Service.

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

We are not liable for losses resulting from unauthorized account access caused by your failure to safeguard credentials.

2.3 Account Termination

We may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms.

3. Use of the Service

3.1 Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes the rights of others
• Upload content containing malware, viruses, or harmful code
• Attempt to reverse engineer, decompile, or extract source code
• Bypass or attempt to bypass access controls or security measures
• Use the Service to compete with HSC or to develop a competing product
• Scrape, mine, or extract data from the Service in bulk
• Share your account credentials with others

3.2 Content You Submit

You retain ownership of call transcripts and other content you submit (“Your Content”). By submitting content, you grant HSC a limited license to process, store, analyze, and display Your Content solely to provide the Service to you and your authorized organization.

You represent and warrant that:

• You have all rights necessary to submit Your Content
• You have obtained any required consents from individuals whose voices, statements, or information appear in transcripts you submit
• Your Content does not violate any law or third-party right

You are solely responsible for ensuring that recorded calls and submitted transcripts comply with applicable laws, including call recording consent laws in your jurisdiction and the jurisdiction of the other party.

3.3 AI-Generated Output

The Service uses artificial intelligence to generate analysis, scores, and coaching recommendations. AI output may contain errors, omissions, or inaccuracies. You should not rely on AI output as the sole basis for personnel, business, or legal decisions. We make no warranty that AI output will be accurate, complete, or fit for any particular purpose.

4. Subscription and Fees

If a subscription fee applies to your access to the Service, you will be notified of the applicable fee separately. Fees are non-refundable except where required by law.

5. Intellectual Property

The Service, including its software, design, text, and other content (excluding Your Content), is owned by HSC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. No other rights are granted.

6. Privacy

Our handling of your information is governed by our Privacy Policy, available at myhsccoach.app/privacy.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

We specifically disclaim any warranty regarding the accuracy, reliability, or completeness of AI-generated analysis, coaching recommendations, or scores.

8. Limitation of Liability

To the fullest extent permitted by law, HSC LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the greater of (a) the amount you paid for the Service in the 12 months preceding the claim or (b) one hundred dollars ($100).

9. Indemnification

You agree to indemnify and hold HSC LLC harmless from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any law or third-party right

10. Modifications

We may modify these Terms at any time. Material changes will be communicated to account holders. Your continued use of the Service after notice of changes constitutes acceptance of the modified Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

12. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and HSC LLC regarding the Service.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
